Angel Series, Session III-Legal Due Diligence

The Series will consist of 6 workshops aimed at training the Miami investment community in the intricacies of angel investing. These will cover a range of topics such as Business Due Diligence, Legal Due Diligence, Sector Analysis, Women in Angel Investing and Funding Cycles.

Our Speakers:

Adam Smith, Partner, Medina Capital

Adam T. Smith, a Partner at Medina Capital, has more than 17 years of experience as a legal executive with expertise in managing global legal affairs, corporate securities, technology contracting, and mergers and acquisitions.  Adam is responsible for sourcing potential investment opportunities and providing Medina Capital’s portfolio companies with strategic advice with business development, mergers and acquisitions, corporate governance, intellectual property protection, contracting, and all legal issues.

Prior to joining Media Capital, Adam served as the Chief Legal Officer and Secretary of Verizon Terremark.  While at Terremark, Adam was responsible for the global legal affairs including securities regulation, mergers & acquisitions, financings, vendor and customer contracting, intellectual property as well as providing advice to senior management on a wide range of legal issues relating to Terremark’s products and services.

Prior to joining Terremark, Adam led the Electronic Commerce & Technology law practice for a Miami based international law firm with a focus on domestic and international corporate transactions, venture capital, and corporate securities for technology clients.

Adam began his career in Washington, D.C., where he was responsible for the review of the legal issues surrounding the Internet aspects of the proposed Sprint/WorldCom merger. He also gained federal government experience in internships with the Department of State (U.S. Embassy/Santiago, Chile), the U.S. House of Representatives International Relations Committee, as well as honors legal internships with the Office of the Senior Deputy Counsel for International Affairs & Intelligence at the Department of Defense, and in the Office of the Deputy Attorney General in the Executive Office of National Security at the Department of Justice. He was also an official Observer for the Electoral Observation Mission to Panama for the 1999 local, provincial, and presidential elections in Panama, and the 1998 Presidential election in Venezuela.                               

Adam received his Bachelor’s of Arts in International Relations and Political Science from Tufts University and his Juris Doctor from the University of Miami School of Law.  Adam is a member of the bar of the State of Florida and the United States District Court for the Southern District of Florida.

Jaret Davis, Partner Co-Managing Shareholder, Greenberg Traurig

As Co-Managing Shareholder, he oversees approximately 160 attorneys and 200 business staff based in the firm’s founding office. A principal shareholder in the firm’s Corporate & Securities Practice focusing on both domestic and international transactions within the mergers and acquisitions, capital markets, and credit markets arenas, Jaret represents numerous companies with an industry focus on the IT, and health care and biotech sectors.

Jaret served as lead shareholder of the 40+ attorney legal team representing Terremark Worldwide, Inc., a Nasdaq-listed provider of IT infrastructure, in connection with its acquisition by Verizon Communications, Inc. The acquisition, which boasted an equity value of $1.4 billion and an enterprise value of $2 billion, was Verizon’s largest since its acquisition of MCI in 2005, ranking as both the largest pairing of a telco and a colocation provider and the largest transaction in the cloud computing space. He was also provided representation to Metropolitan Health Networks, Inc., a New York Stock Exchange listed health care provider, in its $850 million sale to Humana, Inc. He has represented publicly traded clients having an aggregate market capitalization of over $6 billion. He also serves as General Counsel to the Technology Foundation of the Americas, the nonprofit spearheading the 2014 eMerge Americas global technology conference.

Jaret serves as the President of the University of Miami Law Alumni Association, Chairman of the Audit Committee of the Board of Directors of Miami Children’s Hospital and as a member of each of the University of Miami Law Review Alumni Advisory Board, the University of Miami Moot Court Alumni Advisory Board and the University of Miami’s Citizens Board. He also serves on a number of additional philanthropic and civic boards, including the Miami Children’s Initiative, City Year and the SEED Foundation. He serves as the Chair of the Special Events Committee for the Miami Leadership Council of the American Diabetes Association, in which capacity he chairs the 2013 Father of the Year Gala and serves as a member of the nationally-based, Income Development Committee of the American Diabetes Association

He has been recognized by a number of publications. These include Super Lawyers, the M&A Advisor, which selected him for its 2010 “40 Under 40” list, the National Law Journal, which selected him for its 2011 “Minority 40 Under 40” list, the Daily Business Review, which designated him “Top Dealmaker of the Year” in both 2010 and 2012, the Miami Herald, which selected him for its inaugural “Top 20 Under 40” list, the South Florida Business Journal, which selected him for its inaugural “40 Under 40” list and its Key Partners Award and Legacy magazine, which named him “2013 Corporate Executive of the Year.”

Jaret graduated magna cum laude from the University of Miami School of Law where he was a member of the executive editorial board of and published in the University of Miami Law Review. He also served as a member of the Moot Court board, the Catsman Fellow for the School of Law’s Center for Ethics and Public Service and the first African-American Chief (President) of the Iron Arrow Honor Society, the leading honor society at the university.
